Terms of Use

These Terms of Use (“Terms”) govern your access to and use of ShopCommander, operated by Floox AI, Inc. (“ShopCommander”, “we”, “us”, or “our”), including our website, web console, mobile app, and embedded Shopify application (together, the “Service”). By using the Service, you agree to these Terms.

1. The Service

ShopCommander provides an AI agent and visual workflow tools that help you operate a Shopify store — managing products, inventory, orders, customers, fulfillment, discounts, and shipping — through natural language and automation. Features may change as we improve the Service.

2. Accounts and eligibility

You must be at least 18 years old and able to enter into a binding agreement to use the Service. You are responsible for your account, for keeping your credentials secure, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

3. Your store and authorization

When you connect a Shopify store, you authorize ShopCommander to access and act on that store using the permissions you grant during installation. You represent that you are authorized to connect the store and to instruct actions on it. Your use of Shopify remains subject to Shopify’s own terms, and your use of any third-party service we integrate with is subject to that provider’s terms.

4. AI output and your responsibility

The agent acts on your instructions and the access you authorize. AI-generated output and actions can contain errors and should not be treated as professional advice. You are responsible for reviewing the agent’s actions — especially those that change or remove data, fulfill orders, issue discounts, or spend money. We recommend using human-approval steps in workflows for sensitive operations. You remain responsible for compliance with applicable laws for your store.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful, harmful, deceptive, or abusive purpose.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems.
• Interfere with, disrupt, or place undue load on the Service or its infrastructure.
• Reverse engineer, resell, or misuse the Service except as permitted by law.
• Use the Service to violate the rights of others or any platform terms, including Shopify’s.

6. Plans and billing

Some features may require a paid plan. Where they do, pricing, billing frequency, and what is included are described at the point of purchase or signup, and apply when you subscribe. Unless stated otherwise, fees are non-refundable except as required by law.

7. Intellectual property

We own the Service, including its software, design, and content, and retain all rights not expressly granted to you. You retain ownership of your store data and the content you provide. You grant us the limited rights necessary to operate the Service and perform the actions you request.

8. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate or complete.

9. Limitation of liability

To the maximum extent permitted by law, ShopCommander and Floox AI, Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim.

10. Indemnification

You agree to indemnify and hold harmless ShopCommander and Floox AI, Inc. from claims, damages, and expenses arising out of your use of the Service, your content, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Service and uninstall the app at any time. We may suspend or terminate access if you violate these Terms or to protect the Service or its users. Provisions that by their nature should survive termination will continue to apply.

12. Changes

We may update these Terms or the Service from time to time. When we update the Terms, we will revise the “Last updated” date above, and your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, and you agree to the exclusive jurisdiction of the courts located there, except where applicable law provides otherwise.
